A. Introduction

Amicus Wellness FLAGs (“Amicus,” “we,” “our,” or “us”) operates a digital health and social-impact platform that helps individuals, families, community-based organizations (CBOs), NGOs/CSOs, employers, healthcare providers, and donors (“Users” or “you”) connect to trusted information, care pathways, fundraising tools, and secure messaging. Our services include, among others, AI-assisted chat, guided Health Journeys (e.g., triage, risk checks, appointment coordination), Fundraising Campaigns for named beneficiaries, provider search, document and payments orchestration, and related support (together, the “Services”), delivered through the Amicus Platform (web, WhatsApp/other messaging channels, and connected partners and providers).

By enrolling for or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (“Terms”).


B. Amicus Platform, Services, and Programs

1. Description of the Platform and our Services

1.1. The Amicus Platform is a digital infrastructure that connects Users (including donors, payers, providers, and beneficiaries) to coordinate information, messaging, payments, and the digital management of Health Journeys and Fundraising Campaigns.

1.2. The Amicus Platform is accessible via messaging channels (e.g., WhatsApp through authorized providers), mobile/desktop interfaces, and participating providers/partners. The Platform may allow a User to:

  • start or continue Health Journeys;

  • access provider search and other guidance;

  • create, manage, or contribute to Fundraising Campaigns;

  • view applicable limits, fees, and program terms; and

  • make or receive payments in supported ways.

1.3. We provide a range of Services to individuals, organizations, and providers, including licensing the Platform, administering Health Journeys, distributing and supporting Fundraising Campaigns, and offering related support and integrations.

2. Programs on the Amicus Platform

2.1. We operate or support different types of programs:

2.1.1. Payer-Supported Programs. Programs offered under the brand of an insurer, employer, NGO/CSO, government scheme, or other payer (“Payer”), which may cover or subsidize services or benefits for eligible Users under their program terms.

2.1.2. Amicus Programs. Programs offered under the Amicus brand, which may include Health Journeys, donor-funded bundles, or other offerings where you or your personal relations pay, donate, or receive benefits under the relevant terms. Certain Amicus Programs may be partially funded or underwritten by a Payer.


C. Access to the Services

3. Eligibility

3.1. To use the Services as a primary user, you must:

  • (a) be of legal age and have legal capacity for the relevant Service or Program; and

  • (b) be registered on the Amicus Platform or otherwise by Amicus with accurate required information.

3.2. Legal entities must be validly incorporated/registered and maintain all licenses and approvals necessary to conduct their activities.

3.3. You confirm that you register voluntarily and without coercion. If you use the Services for or on behalf of another person (e.g., a dependent or a beneficiary), you warrant that you have the lawful authority and consent to do so.

4. Enrolment

4.1. Registration may be facilitated by Amicus, a Payer, a Provider, or an authorized partner/agent.

4.2. Questions or complaints may be raised via the contact details in Section 21. We will endeavor to respond without undue delay.

5. Amicus Account

5.1. Certain Services require an Amicus Account. We may create an account for you where necessary to deliver Services (including when Programs are offered through a Payer).

5.2. You are responsible for securing your login credentials. You must not permit unauthorized persons to access or use your account, and you are responsible for all activities under it.

5.3. You may only create one Amicus Account unless we expressly approve otherwise. If your account is blocked or deleted, you must not attempt to access or create another account except as permitted by us.

5.4. You agree to provide and maintain accurate and complete information. You are responsible for ensuring the accuracy of all data associated with your account.

6. Use of funds, benefits, and Campaign proceeds

6.1. Program funds/benefits and Campaign proceeds may be used only as allowed by the applicable Program Terms & Conditions or Campaign Terms. You must not double-spend or misappropriate funds/benefits.

6.2. Information about participating Providers and Program coverage/limits is available within the Platform or Program Terms & Conditions. Program summaries shown in the Platform are informational; the full Program Terms & Conditions prevail.

6.3. To access services at participating Providers, you must identify yourself through the means we specify (e.g., confirmed phone number, message verification, or other identifiers). Any physical or digital credential we issue is personal to you.

6.4. Where permitted, you may add dependents/relations under your account to access defined Services or benefits. You accept these Terms on their behalf and are responsible for their compliance.


D. Distribution of Programs and Campaigns

7. Distribution channels

7.1. Amicus distributes Programs and Fundraising Campaigns through the Platform (including web, messaging interfaces), partner channels, and authorized agents. Where insurance products are offered, they are distributed through licensed insurance intermediaries in accordance with law, and the applicable intermediary’s details will be presented at the point of sale.

8. Channel types

8.1. Marketplace/Portal. You may search, compare, purchase, or enroll in Programs and start or contribute to Campaigns online.
8.2. In-person/assisted distribution and embedded offerings. Programs may be offered via partners or embedded in other products/services.
8.3. Messaging/USSD or other channels. You may be offered certain Programs or Campaign participation via supported channels.
8.4. Websites and integrated apps. Our websites/apps provide information and access to the channels above.

9. Agency and role of Amicus

9.1. Each Program or Campaign is accompanied by specific terms (Program Terms & Conditions or Campaign Terms). You:

  • (a) acknowledge possible restrictions (e.g., territorial limits, benefit caps, co-pays, exclusions, eligibility rules); and

  • (b) are responsible for assessing suitability and risks before enrollment or contribution.

9.2. For Payer-Supported Programs, a Healthcare Contract is formed between you and the Payer upon acceptance and payment, as per the Program Terms & Conditions. Unless expressly stated, Amicus is not a party to that contract and does not provide advice on the underlying product.

9.3. The Payer and you are responsible for performing the Healthcare Contract and any after-sales obligations under applicable law.

9.4. Disputes related to a Payer-Supported Program must be pursued with the Payer or relevant intermediary per the Program Terms.

9.5. For Amicus Programs without a Payer, your contract is with Amicus under the applicable Program Terms. For Amicus Programs that involve a Payer, the Payer’s terms also apply.

10. KYC/AML Information

10.1. To accept certain Program Offers or create/withdraw Campaign funds, you may need to provide KYC/AML information (e.g., full name, ID number, date of birth, gender, beneficiary links, and/or organizational details). You consent to Amicus linking this information to your account and sharing it with relevant Payers, processors, or regulators as required by law.

10.2. Acceptance of a Program Offer or Campaign disbursement may be subject to review of your information by Amicus, a Payer, or a financial partner. You will be notified of approval or rejection where applicable.

11. Payments, fees, and pricing

11.1. Amounts due under Program Offers or Services must be paid via the Platform or authorized channels. We may use licensed third-party payment processors (e.g., card, mobile money, bank). Their terms and fees may apply.

11.2. A payment may be refused, suspended, or reversed (e.g., fraud, unauthorized amount, compliance checks), which can delay or prevent activation of a Program or Campaign action. You will be notified where feasible.

11.3. You must promptly report any inaccuracies in payment details. Platform fees (e.g., per-message fees, journey fees, setup fees, donation processing fees) will be disclosed at point of use and/or in your dashboard. Unless mandated by law, donations are generally non-refundable; see 12.3.

12. Cancellations and refunds

12.1. For Payer-Supported Programs, cancellation/termination and any refund are governed by the Payer’s terms and applicable laws. You must contact the Payer or the relevant licensed intermediary.

12.2. Amicus is not obliged to refund any amount related to a Payer-Supported Program unless expressly stated in the Payer’s terms or required by law.

12.3. For Amicus Programs and Fundraising Campaigns:

  • (a) Program refunds (if any) are governed by the specific Program Terms.

  • (b) Donations are intended as voluntary, irrevocable gifts for the stated purpose. Refunds are only made in limited cases (e.g., verified processing error, proven unauthorized transaction, or where required by law). If a Campaign cannot proceed or fully utilize funds for the stated purpose, Amicus may re-allocate remaining funds to alternative but similar beneficiary needs consistent with the Campaign’s purpose or return funds where legally required. Administrative/processing fees may be non-refundable.


E. Facilitation, Payments, and Loans

13. Facilitation and coordination

13.1. Amicus may, where applicable, facilitate appointment coordination, document exchange, eligibility checks, or other workflow support between Users and Providers or Payers. Unless expressly stated, Amicus is not a medical provider, law firm, insurer, or third-party administrator.

13.2. Where a Payer appoints us in a specific role (e.g., program facilitation), we act under the Payer’s authority and applicable terms.

14. Payments and loans

14.1. We may facilitate advances or loans (to Users or Providers) through licensed lenders or financial partners, subject to separate terms among you, the lender, and (if relevant) Amicus. Repayments and related obligations are governed by those terms.


F. General Terms for all Services

15. Appropriate use, User Content, and safety

15.1. By using the Services (including clicking “I accept”), you agree to these Terms. If you represent an entity, you warrant authority to bind it.

15.2. You must comply with all applicable laws and regulations (including health, fundraising, AML/CTF, sanctions, consumer protection, and data protection laws).

15.3. You must not misuse the Services or Platform (e.g., disrupt, overload, probe, or attempt unauthorized access; deploy malware; or circumvent security).

15.4. You are responsible for any User Content you send, upload, or display, including patient data, case notes, Campaign materials, and messages. You must not post misleading, harmful, defamatory, abusive, illegal, or privacy-violating content; doxxing and harassment are strictly prohibited.

15.5. We may use automated tools and risk signals to detect fraud or illegal content. We do not pre-screen all User Content. Report concerns using the contacts in Section 21.

15.6. Sensitive safety note. Amicus provides privacy-respecting spaces, including for survivors of gender-based violence (GBV). However, the Platform is not an emergency service. In Kenya, dial 999 or 112 or seek immediate help from local authorities or emergency providers if you or someone else is in danger.

15.7. No professional advice. AI outputs, chat responses, or content in the Platform are for information only and are not a substitute for professional medical, legal, or financial advice. Always consult qualified professionals for diagnosis, treatment, or legal counsel.

15.8. We may suspend, terminate, or investigate accounts suspected of unlawful or harmful activity and may report such activity to competent authorities.

16. Availability, maintenance, and disclaimers

16.1. The Platform requires compatible devices, connectivity, and may need updates. Requirements may change.

16.2. We may update, improve, or modify the Platform at any time, which may cause temporary unavailability.

16.3. We do not guarantee continuous availability or error-free operation. To the maximum extent permitted by law, the Services are provided “as is” and “as available.”

17. Discontinuation and termination

17.1. You may discontinue use and request account closure using the contacts in Section 21. If your account relates to an active Program or Campaign, closure may be delayed until obligations are completed or consented to by the Payer/participants.

17.2. We may suspend or terminate your access and/or deactivate your account if:

  • (a) you are no longer eligible for an associated Program;

  • (b) the associated Program ends;

  • (c) you materially breach these Terms or applicable law;

  • (d) we must do so to comply with legal obligations; or

  • (e) we reasonably believe continued use poses harm or liability.

17.3. We may suspend or block accounts that provide false/incomplete information, engage in prohibited conduct, or are linked to blocked accounts. Related claims may be denied and Programs or Campaigns canceled. No compensation is owed for such actions.

17.4. These Terms continue to apply to your prior use, accepted Program Offers, and Campaign transactions even after discontinuation.

18. Limitation of liability and indemnity

18.1. To the maximum extent permitted by law, you use the Services at your own risk. Amicus is not liable for any indirect, special, incidental, consequential, or punitive damages, or for delays, changes, or unavailability of the Services. Nothing excludes or limits liability for fraud or willful misconduct, or where liability cannot be limited by law.

18.2. Without limitation, we are not liable for:

  • (a) force majeure events;

  • (b) security incidents caused by you or third-party systems;

  • (c) inaccurate third-party content or data loss/unavailability caused by third parties;

  • (d) products/services not provided by Amicus (including Payers, Providers, payment processors, mobile money platforms, gateways, or third-party sites);

  • (e) malpractice or wrongful acts by Providers; or

  • (f) the acts/omissions of Payers, donors, or other third parties.

18.3. If Amicus is liable for reasons other than fraud/willful misconduct, our aggregate liability shall not exceed the higher of (a) the total fees paid to Amicus in connection with your use of the Services in the 12 months preceding the event giving rise to the claim, or (b) KES 500.

18.4. No claim may be brought more than one (1) year after the cause of action accrues.

18.5. You agree to indemnify and hold harmless Amicus, its affiliates, directors, officers, employees, and partners from losses arising from your or your users’ use of the Services, User Content, breach of these Terms or law, or infringement of any third-party right.

19. Intellectual property

19.1. All intellectual property in the Platform and Services (including software, designs, models, documentation, and brands) is owned by Amicus or its licensors. Except as expressly permitted, you must not copy, modify, reverse engineer, distribute, or create derivative works of the Platform.

19.2. Amicus grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal or authorized organizational purposes, subject to these Terms. You must not use the Services to build a competing product or for time-sharing/service bureau purposes.

19.3. By submitting User Content, you grant Amicus a worldwide, non-exclusive, royalty-free license to host, process, use, reproduce, adapt, and display such content solely to provide and improve the Services and comply with law.

20. Personal data and privacy

20.1. We process personal data to deliver the Services (e.g., identity, contact, transaction, health-related information you voluntarily provide). We recognize the importance of safeguarding privacy and confidentiality.

20.2. Our Privacy Notice explains how we collect, use, share, and protect personal data and how you can exercise your rights. By using the Services, you acknowledge that you have read and accepted the Privacy Notice.

21. Electronic contracting and notices

21.1. Your use of the Services includes the ability to enter into agreements electronically. Your electronic actions constitute your intent to be bound.

21.2. Notices under these Terms may be delivered electronically. You agree to receive records and notices in electronic form.

22. Changes to these Terms

22.1. We may update these Terms from time to time. Material changes may be presented at next sign-in or communicated through the Platform or email.

22.2. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

23. Miscellaneous

23.1. These Terms, together with any applicable Program Terms, Campaign Terms, and written agreements with Amicus, form the entire agreement between you and Amicus regarding the Services.

23.2. You may be subject to additional terms when using third-party services or content accessible through the Platform.

23.3. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be construed to best reflect the original intent while lawful.

23.4. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights/obligations as permitted by law.

24. Dispute resolution and governing law

24.1. You acknowledge that unauthorized use or disclosure of Platform materials may cause irreparable harm. Amicus may seek injunctive relief or specific performance where appropriate.

24.2. We encourage amicable resolution of concerns through our support contacts (Section 21).

24.3. Failing amicable resolution, disputes shall be submitted to the competent courts in Nairobi, Kenya.

24.4. These Terms and your use of the Services are governed by the laws of Kenya.


G. Glossary

After-Sales – Services or information provided following your purchase/enrolment in a Program.
Amicus Account – Your personal or organizational account on the Amicus Platform.
Amicus Platform – Digital channels (including web, messaging, APIs) developed and managed by Amicus to deliver the Services.
Amicus Programs – Programs operated under the Amicus brand, which may include Health Journeys and donor-funded benefits subject to specific terms.
Campaign Terms – Terms that govern a Fundraising Campaign, including purpose, eligibility, fees, disbursement rules, and reporting.
Fundraising Campaign – A named effort to raise funds for a beneficiary or cause managed on/through the Platform.
Healthcare Contract – A contract formed when you accept and pay for a Payer-Supported Program under its Program Terms & Conditions.
Health Journey – A guided digital pathway (e.g., triage, risk screen, appointment coordination, document upload, or referrals) delivered via the Platform.
KYC/AML Information – Information used to identify Users and meet anti-money-laundering, counter-terrorist financing, and sanctions requirements.
Payer – An entity that funds, underwrites, or enables benefits or payments (e.g., employer, insurer, NGO/CSO, government agency, or other sponsor).
Payer-Supported Program – A program offered under a Payer’s brand or authority, potentially subsidizing or covering benefits for eligible Users.
Program Terms & Conditions – Specific terms governing a Program (e.g., eligibility, coverage, limits, exclusions, provider panels).
Provider – A healthcare provider (hospital, clinic, pharmacy, laboratory, licensed practitioner) or other service provider integrated into the Platform.
Services – The platform capabilities and related services offered by Amicus, including Health Journeys, Campaigns, messaging, payments facilitation, and partner integrations.
User Content – Any content submitted or uploaded by Users through the Platform.
